These Terms of Service ("Terms") govern your access to and use of the Walie.ai platform, website, and services provided by Walie.ai, Inc. ("Walie.ai", "we", "us", "our"). By accessing or using our services, you agree to be bound by these Terms.
By creating an account or using Walie.ai services, you confirm that you are at least 18 years old, have the authority to enter into this agreement on behalf of your organization, and agree to these Terms and our Privacy Policy.
Walie.ai provides AI-powered voice and chat agent software as a service (SaaS) platform. We reserve the right to modify, suspend, or discontinue any aspect of our services with reasonable notice, except in cases of security, legal, or safety emergencies.
You agree not to use Walie.ai to:
Subscription fees are billed in advance on a monthly or annual basis. Usage-based charges (overage calls) are billed in arrears. All fees are non-refundable except as required by law or as stated in our refund policy.
We may change pricing with 30 days' written notice. For annual plans, price changes take effect at renewal. You may cancel before renewal if you do not accept the new pricing.
Fees are exclusive of applicable taxes. You are responsible for paying all applicable taxes, except for taxes based on Walie.ai's income.
Walie.ai retains all rights to the platform, technology, and documentation. You retain all rights to your data and customer conversation data. You grant Walie.ai a limited license to use your data solely to provide the services. We do not use your data to train AI models without explicit written consent.
Both parties agree to keep confidential any non-public information shared under these Terms and not to disclose it to third parties without prior written consent, except as required by law.
THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. OUR UPTIME SLA PROVIDES YOUR SOLE REMEDY FOR SERVICE UNAVAILABILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WALIE.AI'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM. WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.
You agree to indemnify and hold harmless Walie.ai from any claims, damages, or expenses arising from your use of the services, violation of these Terms, or infringement of any third-party rights.
These Terms continue until your subscription is terminated. Either party may terminate for cause upon 30 days' written notice if the other party materially breaches these Terms and fails to cure within that period. Upon termination, you may export your data within 30 days, after which it will be deleted.
These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Disputes shall be resolved by binding arbitration in San Francisco, CA, except for injunctive relief claims.
We may update these Terms with 30 days' notice for material changes. Continued use after the effective date constitutes acceptance.
